Board of Directors Mandate
- It is the responsibility of the Board of Directors to oversee the direction and management of BHF according to the governance policies established
- The Board derives its authority from the Articles of Incorporation dated September 27, 1976.
- The Board of Directors have complete oversight of all volunteer standing, task force or Ad Hoc committees within the Foundation.
Executive Committee
Purpose:
The Executive Committee is responsible for the management and review of the Chief Executive Officer of the Foundation. All actions must be reported to and approved by the Board as soon as possible.
Duties & Responsibilities:
- Keep the full Board informed of all Executive Committee activities.
- Ensure that a Strategic Plan is in place and that regular reviews and updates of the Strategic Plan are given to the Board.
- Responsible for a succession planning for key staff positions (Chief Executive Officer & Chief Development Officer).
- Act as the sounding board to the Chief Executive Officer on sensitive or emerging issues.

Governance Committee
Purpose:
To ensure that members nominate qualified candidates to the Board of Directors who will increase the effectiveness of the governance process at Bowmanville Hospital Foundation. Governance Committee members will ensure that the organizational and legal structure of the Foundation, its subsidiaries and committees are kept current to reflect the actual function of the organization as determined by the membership and by legal requirements.
Duties & Responsibilities:
- Develop, document and maintain policies and procedures related to governance (Governance Manual).
- Identify annual goals, objectives and action plans related to the process of governance.
- Facilitate the development of Board effectiveness, through education/training sessions.
- Oversee the orientation process for new Directors, including
Finance, Audit & Risk Committee
Purpose:
To develop and monitor the policies and procedures for all finances pertaining to the Bowmanville Hospital Foundation to minimize risk, provide complete and accurate financial reporting, and ensure the safeguarding of its assets. It is also responsible to oversee the budgeting process and the accuracy of the monthly and annual financial reporting and to ensure the organization’s financial stability.
Duties & Responsibilities:
- Report the results of an annual audit by an independent auditing firm to the full Board.
- Keep the full Board regularly informed of the general financial status of the organization.
- Regularly review reports on the organization’s overall expenditures by reviewing financial data provided by the Chief Executive Officer and/or Foundation Accountant.
- Review and report to the Board on all monthly financial statements and financial

Fund Development Committee
Purpose:
Provide strategic guidance for and directly supports, on-going generation of philanthropic dollars for Bowmanville Hospital by creating, directing and monitoring the relationship between the Foundation and its donors with a comprehensive and tactical plan for stewardship, operational revenue generation and strategies that ensures the Foundation can continue to grow its donor base.
Duties & Responsibilities:
- Review and evaluate a Fund Development Plan that supports and encourages community and corporate engagement with the Foundation in both the short and long-term;
- Support staff and volunteers to identify, research, solicit, foster and steward major prospect and new donors so as to build a pipeline of on-going support;
- Assist with the development and cultivation of mutually supportive fundraising partnerships with local community groups and organizations;
- Monitor and evaluate progress in meeting fundraising targets and return on investment;
Marketing & Communications Committee
Purpose:
To provide guidance, assistance and expertise to the Bowmanville Hospital Foundation’s Marketing & Communications team in the development and implementation of an effective plan which supports the short and long-term goals and initiatives of Bowmanville Hospital Foundation and the We Care We Can campaign.
Duties & Responsibilities
- Develop and implement marketing & communications strategies that will enhance the Foundation’s core values of open communication, transparency, accountability, responsibility, respect, integrity, growth and professional excellence.
- Position Bowmanville Hospital Foundation as a charity of choice across Clarington.
- Create media and print campaigns that increase the number of new donors and increase retention of existing donors.
- Ensure the Foundation has effective communications strategies and tools to achieve its goals.
We Care, We Can Awareness Committee
Purpose:
To provide guidance and assistance to the Bowmanville Hospital Foundation’s Development team in assessing, planning, managing activities and engaging local businesses and organizations in a community-wide Awareness Month event that supports the redevelopment and expansion project for Bowmanville Hospital and the We Care We Can campaign.
Duties & Responsivities:
- Raise awareness of the Bowmanville Hospital, Foundation and We Care, We Can campaign by engagement of local business, organizations and families across Clarington in the Awareness Month initiative event.
- Development and implementation of an effective plan which supports the management, coordination and execution of the Awareness Month event.
- Position Bowmanville Hospital Foundation as a charity of choice across Clarington.
- Encourage local participation and involvement in the Awareness Month event.
Nominations Committee
Purpose:
The Nominating Committee provides guidance in recruiting members from the community to stand for election to the Board of Directors. The Committee ensures the Board of Directors is comprised of individuals who collectively offer a wide range of skills and perspectives consistent with the fundamentals of the Foundation’s Mission, Vision, and Values.
Duties & Responsivities:
- Raise awareness of the Bowmanville Hospital, Foundation and We Care, We Can campaign by engagement of local business, organizations and families across Clarington in the Awareness Month initiative event.

Sponsorship Committee
Purpose:
To assist the Development Team with planning and fundraising for the Foundation’s annual gala.
Duties & Responsivities:
- Raise awareness of the Bowmanville Hospital Foundation’s annual gala
- To assist with sponsorship asks, raffle & auction item procurement and ticket sales
- Position Bowmanville Hospital Foundation as a charity of choice across Clarington.
Campaign Cabinet
Purpose:
To cultivate, solicit and procure major gifts in support of the Foundation’s We Care, We Can Campaign.
Duties & Responsibilities:
- Participate in Major Gift asks in support of the We Care, We Can Campaign
- Financially support the campaign through personal and/or other resources
- Identify key prospects for gifts and help develop strategies for approaching prospects with the support of the Prospect Review Committee and Foundation staff
- Participate in the donor and gift recognition process.
Planned Giving Committee
Purpose:
The objectives of the planned giving committee are to oversee the planned giving program, making sure both donors and the Bowmanville Hospital Foundation are well served, to provide counsel to the staff of the Foundation, and to act as an advocate for the program to the Foundation’s various constituencies.
Duties & Responsibilities:
- Provide recommendations to the Governance Committee of individuals who are qualified to fill vacancies on the Board of Directors;
- Evaluate the experience, skills and abilities needed for a Member and ensure Board Member base is maintained;
- Ensure diversity and inclusivity is considered in Board membership;
- Receive and review candidate applications;
- Evaluate candidate eligibility and skills;
- Conduct interviews with potential Board Members;
